By accessing our website or engaging Hoshonto for services, you agree to be bound by these Terms of Service. Statements of Work (SOWs), proposals, or project briefs issued by Hoshonto form part of this agreement and supersede any conflicting terms. If you represent an organization, you confirm you have authority to enter into this agreement on its behalf.
We provide technology consulting, design, development, implementation, and marketing services. Deliverables, timelines, and acceptance criteria are detailed in the applicable SOW. Scope changes require written approval and may affect fees, timeline, or resource allocation.
You agree to provide timely access to information, systems, credentials, and personnel needed to deliver the project. Delays or missing inputs may impact milestones and could result in schedule or cost adjustments. You are responsible for ensuring all content and assets provided do not infringe third-party rights.
Pricing and payment schedules are outlined in the SOW. Unless otherwise agreed, invoices are due within fifteen (15) days of issue. Late payments may incur interest at 1.5% per month (or the maximum permitted rate). Licenses, third-party subscriptions, travel, or specialised tooling are billed separately with your prior approval.
Upon full payment, you receive ownership of final deliverables explicitly identified in the SOW. Hoshonto retains all pre-existing IP, frameworks, templates, libraries, methodologies, and know-how used to deliver the project. We grant you a non-exclusive, perpetual licence to use such background IP solely within the delivered solution.
Unless otherwise agreed, we may showcase non-confidential project outcomes in our portfolio or case studies.
Both parties agree to protect confidential information obtained during the engagement and to use it only for the purposes of the project. Confidentiality obligations continue for three (3) years after completion, except for trade secrets, which remain protected until information becomes public through no fault of the receiving party.
Hoshonto warrants that services will be performed with reasonable skill and care consistent with industry standards. Except as expressly provided, we disclaim all other warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You are responsible for ensuring deliverables meet your regulatory and business requirements.
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Hoshonto's total aggregate liability for any claim is limited to the fees paid for the specific services giving rise to the claim during the twelve (12) months before the event.
Either party may terminate an engagement for material breach if the breach is not cured within fourteen (14) days of written notice. Upon termination, you will pay for work completed up to the termination date. Provisions relating to confidentiality, intellectual property, payment, warranty disclaimers, and limitation of liability survive termination.
These terms are governed by the laws of Bangladesh, without regard to conflict of law principles. Parties agree to attempt amicable resolution before pursuing litigation. If a dispute cannot be resolved, it will be submitted to the competent courts located in Dhaka, Bangladesh, unless otherwise required by applicable law.
We may update these Terms from time to time to reflect changes in our services or legal requirements. Material changes will be communicated via our website or direct notice. Continued use of our services after changes become effective constitutes acceptance of the updated Terms.
